TERMS AND CONDITIONS
OF SERVICE
PLEASE READ THESE TERMS CAREFULLY
BY REGISTERING, ACCESSING, OR USING THIS PLATFORM IN ANY MANNER, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DISCONTINUE USE IMMEDIATELY.
These Terms constitute a legally binding agreement under the Indian Contract Act, 1872 between you and ClarityMentor (operated by Walia Enterprises).
1.Definitions
- Platform: The ClarityMentor website (www.claritymentor.io), mobile applications, APIs, and all associated services, tools, and software owned and operated by ClarityMentor.
- Company / We / Us / Our: Walia Enterprises, a company incorporated under the Companies Act, 2013, with its registered office at Patiala, Punjab, India, operating the Platform under the brand name ClarityMentor.
- User / You: Any individual or entity accessing or using the Platform, including Seekers, Mentors, and visitors, whether registered or unregistered.
- Seeker: A registered User who accesses the Platform to search for, book, and attend paid consultation sessions with Mentors.
- Mentor: A registered individual who has completed the ClarityMentor onboarding process and offers paid consultation sessions on the Platform based on their stated expertise and experience.
- Session: A scheduled, paid, one-on-one consultation interaction between a Seeker and a Mentor conducted through the Platform's designated communication channels, for a specified duration.
- Services: All features, functionalities, and services offered by the Platform, including but not limited to Mentor discovery, booking, scheduling, payment processing, session hosting, and review management.
- Platform Fee / Commission: The percentage or fixed fee deducted by ClarityMentor from the Mentor's Session fee, as determined and communicated from time to time.
- Content: Any text, images, videos, audio, documents, profile information, reviews, messages, or other material submitted, uploaded, or transmitted by Users through the Platform.
- Account: The registered profile created by a User on the Platform after completing the registration and verification process.
- Dispute: Any disagreement, complaint, or claim arising between a Seeker and a Mentor, or between a User and the Company, in connection with use of the Platform or the Services.
- Intellectual Property: All patents, copyrights, trademarks, trade secrets, trade names, domain names, software, designs, logos, processes, and proprietary information owned or licensed by the Company.
- Force Majeure Event: Any event beyond the reasonable control of the Company, including natural disasters, pandemics, cyber-attacks, governmental actions, internet outages, or other unforeseen circumstances.
2.Acceptance of Terms
- By accessing, registering on, or using the ClarityMentor Platform in any manner, you unconditionally and irrevocably accept these Terms and Conditions, the Privacy Policy, and any additional guidelines, policies, or rules published on the Platform (collectively, the "Agreement").
- This Agreement constitutes a legally binding contract under the Indian Contract. Your acceptance is evidenced by any one or more of the following actions:
- Clicking 'I Agree', 'Accept', 'Sign Up', or any similar button or checkbox on the Platform;
- Creating or logging into an Account;
- Booking or attending a Session as a Seeker;
- Registering as a Mentor and making your profile available;
- Using any feature of the Platform after these Terms have been made available to you.
- If you are accepting these Terms on behalf of a company, organisation, or other legal entity, you represent and warrant that you have authority to bind such entity to this Agreement. If you lack such authority, you must not use the Platform.
3.Eligibility
- To use the Platform, you must satisfy all of the following conditions:
- You must be at least 18 years of age and legally capable of entering into contracts under the Indian Contract Act, 1872;
- You must be a resident of, or accessing the Platform from, the territory of India, or any jurisdiction where use of this Platform is not prohibited by applicable law;
- You must not be barred, suspended, or prohibited from using the Platform under any prior ClarityMentor decision or applicable law;
- As a Mentor, you must accurately represent your qualifications, experience, and expertise during onboarding and at all times thereafter;
- You must have a valid, active mobile number and email address for account verification;
- You must not be acting as an agent or representative of a competitor platform.
- The Company reserves the sole right to verify eligibility, refuse registration, or revoke access at any time, without notice or liability, where any eligibility condition is not met or is found to have been misrepresented.
4.Nature of the Platform — Intermediary Status
- CRITICAL: ClarityMentor is an online intermediary marketplace and technology platform only. It is NOT a consultation firm, professional services provider, employer, or partner of any Mentor.
- ClarityMentor operates exclusively as an intermediary as defined under the Information Technology Act, 2000, read with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. In this capacity:
- The Platform facilitates the discovery, booking, payment, and communication infrastructure between Seekers and Mentors;
- The Company does not directly provide, supervise, control, or endorse any consultation, advice, guidance, or information shared by Mentors during Sessions;
- Mentors are independent contractors and not employees, agents, partners, or representatives of ClarityMentor;
- The Company does not vet, verify, certify, or guarantee the accuracy, completeness, or reliability of any Mentor's profile, credentials, qualifications, or advice;
- The Company has no control over the quality, outcome, or accuracy of advice or guidance provided in Sessions;
- Any relationship formed through the Platform is solely between the Seeker and the Mentor. The Company is not a party to that relationship.
- ClarityMentor's role is analogous to that of an online marketplace that connects buyers and sellers. The Company is not responsible for the acts, omissions, representations, or warranties of any Mentor, and assumes no liability for the outcome of any Session.
5.No Professional Advice Disclaimer
- NOTHING ON THIS PLATFORM, INCLUDING ANY SESSION, CONTENT, MESSAGE, RESOURCE, OR COMMUNICATION, CONSTITUTES PROFESSIONAL LEGAL, FINANCIAL, MEDICAL, PSYCHOLOGICAL, OR ANY OTHER LICENSED PROFESSIONAL ADVICE.
- All sessions conducted through ClarityMentor are informal consultations based on the Mentor's personal experience, knowledge, and perspectives. Specifically:
- Sessions do not substitute for advice from licensed lawyers, chartered accountants, medical practitioners, psychologists, financial advisors, or any other regulated professional;
- No Mentor-Seeker interaction on the Platform creates any professional, fiduciary, doctor-patient, lawyer-client, or advisor-client relationship;
- Seekers are strongly advised to independently verify all information, guidance, or recommendations received during Sessions before acting upon them;
- ClarityMentor expressly disclaims all liability arising from any action taken or not taken by any User in reliance on Session content;
- The Company makes no representations as to the accuracy, suitability, completeness, or fitness for purpose of any information shared during Sessions.
- Seekers use this Platform and act on any Session information entirely at their own risk.
6.User Responsibilities
6.1 General Responsibilities (All Users)
- ●Maintain the confidentiality of your Account credentials and notify us immediately at support@claritymentor.io of any unauthorised access;
- ●Provide accurate, truthful, and complete information at registration and keep your profile updated;
- ●Use the Platform in compliance with all applicable Indian laws, including but not limited to the Information Technology Act, 2000, the Consumer Protection Act, 2019, and any other applicable legislation;
- ●Refrain from any conduct that is fraudulent, abusive, harmful, defamatory, obscene, or otherwise objectionable;
- ●Not share your Account with any third party or allow any other person to use your Account;
- ●Not engage in any activity that compromises the security, integrity, or functionality of the Platform.
6.2 Seeker-Specific Responsibilities
- ●Book Sessions only with the genuine intention of availing consultations for personal, professional, or business guidance;
- ●Be punctual for booked Sessions. Delayed or missed sessions due to Seeker non-attendance are not grounds for refund;
- ●Treat Mentors with respect and professionalism during all interactions;
- ●Not record, screenshot, or reproduce any Session content without prior written consent of the Mentor and the Company;
- ●Not seek advice that involves illegal activities, solicitation, harassment, or any activity prohibited under Indian law;
- ●Not misuse the review or rating system to coerce, blackmail, or defame Mentors;
- ●Acknowledge and accept that outcomes from Session advice are not guaranteed and lie entirely within your control and responsibility.
6.3 Mentor-Specific Responsibilities
- ●Provide consultations only within your genuine area of expertise as stated in your profile;
- ●Be punctual, prepared, and professional in all Sessions;
- ●Not provide advice in domains requiring statutory licensing (e.g., specific medical diagnoses, registered legal opinions) unless you hold applicable registrations;
- ●Not solicit Seekers to engage in off-platform transactions, businesses, investments, or referrals;
- ●Not share Seeker's personal information with third parties without their explicit consent;
- ●Maintain and keep your profile information, availability, and pricing accurate and current;
- ●Not engage in any conduct during Sessions that is discriminatory, harassing, or inappropriate.
7.Mentor Onboarding and Conduct Rules
- All prospective Mentors must complete ClarityMentor's onboarding process, which includes:
- Providing verifiable credentials, professional background information, and expertise details;
- Completing a profile review and approval process conducted by the Company;
- Agreeing to these Terms and any additional Mentor Agreement as may be prescribed;
- Providing valid bank account or payment details for commission settlement.
- Mentor approval is at the sole, absolute discretion of ClarityMentor. Submission of an application does not guarantee approval. The Company reserves the right to:
- Reject any Mentor application without providing reasons;
- Suspend or permanently remove a Mentor for conduct violations, negative Seeker feedback, misrepresentation, or any other reason deemed appropriate by the Company;
- Modify Mentor profile information for accuracy, policy compliance, or Platform consistency.
- Mentors acknowledge and agree that they are independent contractors and not employees, agents, or representatives of ClarityMentor; they are solely responsible for the advice, guidance, and information provided during Sessions; they bear sole liability for any claims arising from their advice; they will not make guarantees of results, returns, or outcomes to Seekers; and all tax obligations on earnings from the Platform (including GST registration, if applicable, and income tax) are the sole responsibility of the Mentor.
8.Booking, Pricing, and Payments
8.1 Booking Process
- ●Seekers may browse Mentor profiles and book Sessions through the Platform's booking interface only;
- ●All bookings are subject to Mentor availability and confirmation;
- ●A booking is confirmed only upon successful payment processing and issuance of a booking confirmation by the Platform;
- ●The Company reserves the right to cancel any booking for technical, legal, or policy reasons without prior notice.
8.2 Pricing
- ●Session fees are set by Platform and displayed on mentor profiles;
- ●All prices are in Indian Rupees (INR) and exclude applicable taxes unless stated otherwise;
- ●Mentor pricing is subject to change at any time; such changes apply only to future bookings, not confirmed sessions;
- ●The Company may introduce promotional pricing, discounts, or packages at its discretion.
8.3 Payment Terms
- ●All payments must be made in advance through the Platform's integrated payment gateway;
- ●Accepted payment modes include: UPI, credit cards, debit cards, net banking, and other options made available by the payment gateway;
- ●Payments are processed by a third-party payment gateway. ClarityMentor does not store card details or financial credentials;
- ●By making a payment, you confirm that you are authorised to use the selected payment method;
- ●In the event of payment failure, no booking is confirmed. You must retry payment to confirm the booking;
- ●ClarityMentor shall not be liable for any loss or damage arising from payment gateway failures, delays, or errors.
- ●ANTI-CHARGEBACK POLICY: Initiating an unauthorised chargeback or payment reversal with your bank or card issuer for a valid, completed, or in-progress Session is a breach of these Terms. ClarityMentor reserves the right to suspend your account, recover the amount through legal proceedings, and report the matter to appropriate authorities.
9.Cancellation, Refund, and Rescheduling Policy
9.1 Cancellation by Seeker
- ●Cancellation made 24 or more hours before the scheduled Session start time: 80% refund of the Session fee (20% is retained as a non-refundable platform processing fee);
- ●Cancellation made between 4 and 24 hours before the Session: 50% refund;
- ●Cancellation made within 4 hours of the Session, or after the Session has commenced: No refund;
- ●No-show by the Seeker (failure to join within 10 minutes of scheduled start): No refund;
9.2 Cancellation by Mentor
- ●If a Mentor cancels a confirmed Session, the Seeker is entitled to a full refund of the Session fee;
- ●Repeated or last-minute cancellations by a Mentor may result in suspension or removal of the Mentor's profile;
- ●Refunds for Mentor cancellations are processed within 7 working days to the original payment source.
9.3 Technical Failures
- ●In the event of a verified technical failure attributable to the Platform (not the User's internet, device, or connectivity), a partial credit or rescheduling option will be offered at the Company's discretion;
- ●Technical issues originating from the Seeker's or Mentor's device, internet connection, or third-party applications are not grounds for refund;
9.4 Rescheduling
- ●Seekers may reschedule a Session up to 24 hours before the scheduled start time, subject to Mentor availability, at no additional charge (once per booking);
- ●Rescheduling requests within 24 hours of the Session are subject to a rescheduling fee or the applicable platform policy;
- ●The Company does not guarantee Mentor availability for rescheduled timings.
10.Platform Fees and Commission
- ClarityMentor deducts a Platform Commission from each Session fee collected. The applicable commission rate is communicated to Mentors during onboarding and updated periodically;
- Commission rates are subject to change with 30 days' written notice to Mentors via email;
- Net payouts to Mentors (Session Fee minus Platform Commission minus applicable taxes) are processed within 7 working days after completion of the Session;
- The Company reserves the right to withhold payouts in cases of active Disputes, suspected fraud, policy violations, or pending investigation;
- Mentors are solely responsible for their applicable income tax, GST, and any other statutory dues on earnings received through the Platform;
- The Company may issue TDS certificates as required under applicable Indian tax law.
11.Anti-Circumvention Clause
- PROHIBITED: Users are strictly prohibited from engaging in, attempting to engage in, or facilitating any off-platform transaction with another User introduced through ClarityMentor.
- Specifically, the following actions constitute a material breach of these Terms: Exchanging personal contact details (phone numbers, WhatsApp, email, social media handles) for the purpose of conducting or discussing Sessions outside the Platform; soliciting, offering, accepting, or completing any engagement directly with a User first encountered through ClarityMentor, outside of the Platform, within 12 months of the initial introduction; directing a Seeker to an external website or platform to complete a booking; offering alternative payment methods to bypass the Platform's payment system; establishing a competing platform using contacts obtained through ClarityMentor.
- Consequences include immediate and permanent Account suspension; recovery of all lost commissions plus a penalty of INR 50,000 per incident; and possible civil/criminal proceedings.
12.Intellectual Property Rights
- All intellectual property on the ClarityMentor Platform — including name, logo, design, software, code, and content — is the exclusive property of the Company and protected under the Trade Marks Act 1999 and the Copyright Act 1957.
- Users are granted a limited, non-exclusive, revocable licence to access and use the Platform for personal or professional purposes. Reverse engineering, scraping, or unauthorised use of branding is strictly prohibited.
13.User Content and License
- By submitting Content on the Platform, you grant ClarityMentor a worldwide, royalty-free, perpetual, sub-licensable licence to use, reproduce, modify, and distribute such Content for operating and marketing the Platform.
- You represent that you own the rights to your Content and that it does not infringe third-party rights or violate the IT Act 2000.
14.Prohibited Activities
14.1 Fraud and Misrepresentation
Creating fake accounts, impersonation, misrepresenting qualifications, submitting false reviews, and manipulating algorithms.
14.2 Unlawful and Harmful Conduct
Illegal acts, harassment, transmitting malware, and sending spam.
14.3 Exploitation and Misuse
Multi-level marketing, investment solicitation, gaming the refund process, and recording Sessions without consent.
14.4 Data and Privacy Violations
Misusing other Users' data, unauthorised account access, and circumventing security measures.
15.Account Suspension and Termination
- ClarityMentor reserves the right to suspend or terminate accounts for term violations, fraud, chargebacks, or conduct harmful to the Platform.
- Upon termination, right to access the Platform ceases immediately. Pending payouts may be withheld. Provisions related to IP, liability, and disputes survive termination.
16.Limitation of Liability
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE USER IN THE THREE MONTHS PRECEDING THE CLAIM.
- ClarityMentor shall NOT be liable for indirect, incidental, or consequential damages, loss of profits, financial losses from reliance on advice, or mental health impact arising from any Session.
- The Platform is provided on an AS IS and AS AVAILABLE basis without warranties of uninterrupted availability or error-free operation.
17.Indemnification
You agree to defend, indemnify, and hold harmless ClarityMentor and its affiliates from claims arising from your misuse of the Platform, violation of terms, provided/received advice during Sessions, or infringement of third-party rights.
18.Third-Party Services Disclaimer
- Payment processing, cloud infrastructure, and communication tools are provided by third parties (e.g., Razorpay). ClarityMentor is not responsible for failures at the provider level.
- Disputes regarding third-party services must be resolved directly with them. Service interruptions do not entitle Users to compensation from the Company.
19.Data Privacy and Security
ClarityMentor protects User data in accordance with the IT Act 2000 and the DPDPA 2023. By using the Platform, you consent to data collection as described in our Privacy Policy.
20.Force Majeure
The Company is not liable for failures caused by circumstances beyond its control, including natural disasters, pandemics, cyber-attacks, or telecom outages.
21.Dispute Resolution
21.1 Seeker-Mentor Disputes
Mediation may be available by writing to support@claritymentor.io within 7 days of the incident.
21.2 User vs. ClarityMentor Disputes
Resolved exclusively via arbitration conducted in English. The award shall be final and binding.
22.Modifications to These Terms
ClarityMentor may update Terms at any time. Material changes include 15 days notice. Continued use constitutes acceptance. It is your responsibility to review Terms periodically.
23.Miscellaneous Provisions
- Entire Agreement: These Terms and Privacy Policy constitute the full understanding between parties.
- Severability: Invalid provisions shall be severed without affecting others.
- Governing Law: Laws of India. Jurisdiction: Patiala, Punjab.
